Welcome to MatesRates!

These Terms and Conditions ("Terms") govern your access to and use of the MatesRates platform, including our website, mobile applications, and any other related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Platform.  

1. Definitions

In these Terms, unless the context otherwise requires:

• "Account" means an account created by a User on the Platform.
• "Agreement" means these Terms and Conditions, together with any other documents expressly incorporated by reference.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials.
• "Customer" means a User who posts a job on the Platform.
• “Worker” means you are a User who offers on jobs on the platform
• "Dispute" means any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services.
• "Fees" means the fees payable by Users to MatesRates for the use of the Platform, as set out on the Platform.
• "Intellectual Property Rights" means all intellectual property rights, including but not limited to patents, trademarks, service marks, copyrights, design rights, database rights, and confidential information.
• "MatesRates","we", "us", or "our"means Mates Rates Services Pty Ltd, an Australian proprietary limited company.
• "Offer" means an offer made by a Worker to complete a Job.
• "Platform" means the MatesRates website, mobile applications, and any other related services.
• "Services" means the services provided by MatesRates through the Platform, including but not limited to connecting Customers with Workers.
• "Job" means a job, errand, or other service requested by a Customer on the Platform.
• "Job Price" means the price agreed between a Customer and a Worker for the completion of a Job.
• "Terms" means these Terms and Conditions.
• "User" means any person who accesses or uses the Platform, including Customers and Workers.
• "Worker" means a User who offers to complete Jobs on the Platform.

2. Acceptance of Terms

By accessing or using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing or using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.  

3. Account Registration  

3.1. To access certain features of the Platform, you may be required to create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.  

3.2. You are responsible for maintaining the confidentiality of your Account password and for all activities that occur under your Account. You agree to immediately notify MatesRates of any unauthorized use of your Account or any other breach of security.  

3.3. MatesRates reserves the right to suspend or terminate your Account at any time for any reason, including but not limited to your breach of these Terms.

4. Using the Platform

4.1. You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Platform by, any third party.  

4.2. You agree not to:

• Use the Platform to post or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.  
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.  
• Use the Platform to collect or store personal data about other Users.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.  
• Use any robot, spider, or other automatic device or process to access, monitor, or copy any Content from the Platform.
• Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to the Platform, other User Accounts, or any other computer systems or networks connected to the Platform.  
• Use the Platform for any commercial purposes without the express written consent of MatesRates.

5. Posting Jobs

5.1. Customers may use the Platform to post Jobs. When posting a Job, Customers must provide accurate and complete information about the Job, including a clear description of the services required, the location of the Job, and any other relevant details.

5.2. Customers are responsible for ensuring that their Jobs comply with all applicable laws and regulations.

5.3. MatesRates reserves the right to remove any Job from the Platform that it deems to be inappropriate or in violation of these Terms.

6. Offering Services

6.1. Workers may use the Platform to offer their services to complete Jobs. When offering services, Workers must provide accurate and complete information about their skills, experience, and qualifications.

6.2. Workers are responsible for ensuring that they have the necessary skills, experience, and qualifications to complete the Jobs they offer to undertake.

6.3. Workers are responsible for complying with all applicable laws and regulations when completing Jobs.

7. Job Completion and Payment

7.1. When a Customer accepts an Offer from a Worker, an agreement is formed between the Customer and the Worker for the completion of the Job at the agreed Job Price.

7.2. Workers are responsible for completing Jobs to a high standard and in accordance with the Customer's instructions.

7.3. Customers are responsible for paying Workers the agreed Job Price through the Platform.

7.4. MatesRates will facilitate the payment process between Customers and Workers and will charge Fees for this service.

7.5. MatesRates reserves the right to withhold payment to Workers in certain circumstances, including but not limited to where there is a dispute between the Customer and the Worker or where the Worker has breached these Terms.

8. Disputes

8.1. MatesRates encourages Customers and Workers to resolve any Disputes amicably between themselves.

8.2. If a Customer and a Worker are unable to resolve a Dispute, they may use the Platform's dispute resolution process.

8.3. MatesRates may, at its discretion, assist Customers and Workers in resolving Disputes. However, MatesRates is not obligated to resolve Disputes and does not make any guarantees about the outcome of any dispute resolution process.

8.4. Should the User be responsible for the cancellation of a job, they will be refunded the job amount however they will not be refunded the service fee they paid.

8.5. Should the worker be responsible for the cancellation of a job, the user will be refunded the full amount including the service fee paid and the service fee of the job cancelled will be deducted from the pay of the next job the worker completes.

9. Intellectual Property

9.1. The Platform and its Content are protected by Intellectual Property Rights owned by or licensed to MatesRates.

9.2. You may not use the Platform or its Content for any purpose other than as expressly permitted by these Terms.

9.3. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform.  

10. Disclaimer of Warranties

10.1. The Platform and the Services are provided "as is" and "as available" without any warranties of any kind, either express or implied.

10.2. MatesRates disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.  

10.3. MatesRates does not warrant that the Platform or the Services will be uninterrupted or error-free, that defects will be corrected, or that the Platform or the server that makes it available are free of viruses or other harmful components.  

10.4. MatesRates does not warrant the accuracy, completeness, or reliability of any Content posted on the Platform.

11. Limitation of Liability

11.1. To the maximum extent permitted by law, MatesRates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:  

• Your access to or use of or inability to access or use the Platform or the Services.  
• Any conduct or content of any third party on the Platform.
• Any Content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

11.2. In no event shall MatesRates' total liability to you for all damages, losses, and causes of action arising out of or relating to these Terms or your use of the Platform exceed the amount of Fees paid by you to MatesRates in the twelve (12) months preceding the event giving rise to the liability.  

12. Indemnification

You agree to indemnify and hold harmless MatesRates and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:  

• Your breach of these Terms.  
• Your use of the Platform or the Services.
• Your violation of any law or the rights of a third party.

13. Termination

13.1. These Terms are effective unless and until terminated by either you or MatesRates.

13.2. You may terminate these Terms at any time by closing your Account and ceasing to use the Platform.

13.3. MatesRates may terminate these Terms at any time for any reason, with or without notice to you.

13.4. Upon termination of these Terms, your right to access and use the Platform shall immediately cease.

13.5. The following provisions shall survive termination of these Terms: Sections 9 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Termination), and 14 (General).

14. General

14.1. These Terms constitute the entire agreement between you and MatesRates relating to your access to and use of the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.  

14.2. These Terms and the relationship between you and MatesRates shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.  

14.3. You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the courts of Queensland, Australia.

14.4. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.  

14.5. MatesRates' failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.6. You may not assign or transfer these Terms, by operation of law or otherwise, without MatesRates' prior written consent.

14.7. MatesRates may assign or transfer these Terms, at its sole discretion, without restriction.

14.8. These Terms are binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.
